DIF Capital Partners announced it had initiated exclusive negotiations with TDF and La Banque des Territoires to acquire the fibre business segment of the TDF Group, a key player in infrastructure and digital networks in France.
The potential investment aims to support TDF Fiber’s ongoing efforts to deliver its well-regarded expertise to local communities, individuals, and businesses. It also seeks to enable TDF Fiber to pursue growth opportunities in existing and new markets.

DIF Investment in TDF and Transaction Details
Through its DIF Infrastructure VII fund, DIF Capital Partners is discussing investing in TDF Group’s fibre business by acquiring the entire share capital of TDF Fiber and Lumière Fibre, a newly established entity wholly owned by TDF.
Lumière Fibre is expected to receive contributions from TDF regarding its engineering, maintenance, fibre rollout, and construction services divisions. Post-transaction, TDF Group will continue supporting TDF Fiber, particularly in network oversight.
This transaction, currently under negotiation, will involve initiating information and consultation processes with relevant French employee representative bodies. Subject to the satisfaction of customary conditions precedent, the transaction could be finalized by the end of 2024.
